What This Means (2024 FDD)

According to Benihana's 2024 Franchise Disclosure Document, if a franchisee develops any new modification, concept, process, improvement, or slogan related to the operation or promotion of the restaurant or the Benihana system, it is considered a "Work Improvement." The franchisee is obligated to promptly notify Benihana of this Work Improvement and provide all necessary information regarding it.

This means that any innovation a franchisee comes up with, whether it's a new way to prepare food, a more efficient process for serving customers, or a catchy marketing slogan, must be immediately reported to Benihana. The franchisee must also provide all the details and data related to the Work Improvement that Benihana requests.

Furthermore, the FDD states that any Work Improvement becomes the sole and exclusive property of Benihana without any compensation to the franchisee. Benihana has the right to use or allow other franchisees to use the Work Improvement in connection with the Benihana system or the operation of Benihana restaurants. This clause emphasizes that while franchisees may contribute to the system's evolution, Benihana retains ownership and control over all such improvements, which is a fairly standard practice in franchising to maintain brand consistency and leverage successful innovations across the network.
