What This Means (2024 FDD)

Based on the 2024 Franchise Disclosure Document, the franchisee is not relying on any affiliated entity or parent company of Benihana National Corp. (BNC) regarding BNC's financial obligations. The document emphasizes that the franchisee is an independent contractor and not an agent, partner, joint venturer, joint employer, or employee of BNC or any of its affiliates. This distinction is crucial as it clarifies that the franchisee is solely responsible for their own financial obligations and the management of their business.

Benihana franchisees are responsible for all aspects of their restaurant's operations, including hiring, disciplining, discharging, and establishing wages, hours, benefits, employment policies, and other terms and conditions of employment for their employees. BNC has no control over these terms and conditions, further reinforcing the independent nature of the franchise. The franchisee also cannot bind or obligate BNC, Benihana, Inc., or Benihana of Tokyo in any way, nor can they represent that they have any right to do so.

This independent contractor status is highlighted in public records and in the franchisee's relationships with other persons, on stationery, business forms, and checks, where the franchisee must indicate independent ownership of the restaurant and that it operates under a franchise granted by BNC. Additionally, the franchisee must exhibit a notification at the restaurant, designated by BNC, stating that the restaurant is operated as an independent contractor and not by BNC, Benihana, Inc., or Benihana of Tokyo. This clear separation ensures that the franchisee is recognized as a distinct entity responsible for its own financial and operational obligations.
