What This Means (2024 FDD)
According to Benihana's 2024 Franchise Disclosure Document, Benihana disclaims any warranty regarding the quality or merchantability of goods or services provided by architects, contractors, or other entities it may refer to the franchisee. Benihana is not liable for construction delays, equipment issues, or decoration problems at the restaurant, or for any losses resulting from the restaurant's design or construction. This is because Benihana has no control over the landlord or the numerous design, construction, or related problems that could occur and delay the opening of the Restaurant.
This disclaimer means that franchisees bear the full responsibility for the design, construction, and equipping of their Benihana restaurant. They must obtain all necessary permits and ensure compliance with local regulations. The franchisee also assumes the risk of delays and cost overruns during the construction phase.
Prospective Benihana franchisees should carefully consider these factors and conduct thorough due diligence before investing in a franchise. This includes evaluating potential contractors, understanding local regulations, and developing a detailed construction plan to mitigate potential risks and delays. Franchisees should also ensure they have sufficient capital to cover any unexpected costs that may arise during the construction process.
