What This Means (2024 FDD)
According to Benihana's 2024 Franchise Disclosure Document, Benihana has the authority to establish procedures, limitations, and regulations regarding the operation of franchisee websites. If Benihana establishes such procedures, franchisees must immediately comply with them. Benihana also retains the sole right to establish an Internet "home page" using any of its trademarks and to regulate the establishment and use of linked home pages by franchisees.
This means that while a franchisee may be allowed to operate a website, Benihana maintains control over how its brand and trademarks are used online. A franchisee needs written approval from Benihana to use the trademarks to advertise or sell products or services through any electronic medium, including the internet. Furthermore, franchisees cannot develop any online medium that uses Benihana's trademarks without prior written consent, and must adhere to Benihana's established procedures and standards.
This level of control is common in franchising to ensure brand consistency and protect the franchisor's trademarks. For a prospective Benihana franchisee, this highlights the importance of understanding and adhering to Benihana's digital marketing and branding guidelines. It also means that franchisees need to be prepared to adapt their online presence to comply with any new procedures or regulations that Benihana may implement.
