Franchisee further agrees to comply with all mandatory specifications, standards and operating procedures relating to the operation of Centers, including: 1) an adoption and maintenance of Franchisor's trade dress (i.e., image, appearance, layout, design and decor) of the Center; 2) notices, signs, displays, graphics, marketing and advertising materials, business forms, print and digital communications, and other materials; 3) cleaning, repair, refurnishing, and remodeling; 4) type, brand, appearance, and functioning of equipment, computer systems, products, fixtures, and furnishings; 5) appearance and demeanor of personnel of the Center (including the wearing of name tags and logo apparel as Franchisor may periodically specify); 6) marketing methods or programs, and digital or online communications; 7) use of the Marks and use of and protection of Confidential Information; and 8) preparation and retention of records. Franchisee must be a member of Franchisor's Intranet network linking Franchisees with each other and Franchisor's Corporate Office. If so requested by Franchisor, Franchisee agrees to display, at a prominent location within the Center, a small sign and brochure holder full of brochures provided by Franchisor which inform the public of the opportunity to purchase franchises of Franchisor.

  • G. COMPLIANCE WITH LAWS AND GOOD BUSINESS PRACTICES. Franchisee agrees to operate the Center in full compliance with all applicable laws, ordinances, regulations, industry standards, and certification requirements, including federal laws such as the Fair Labor Standards Act, National Labor Relations Act and Americans with Disabilities Act, and laws and regulations governing matters such as occupational hazards, zoning, construction, business licensing, fictional business names, health, sanitation, safety, minimum wages, overtime, working conditions, workers' compensation insurance, unemployment insurance, discrimination, consumer protection, trade regulation, data protection and data breaches, environmental protection, and the withholding and payment of income, social security, sales, use, property and other taxes. Franchisee agrees that it is solely responsible for identifying and obtaining all (if any) licenses, permits, authorizations, certifications or otherwise that may be required in connection with the operation of the Center. Franchisee agrees to operate the Center in conformity with all U.S. Postal Service regulations and guidelines. Additionally, Franchisee agrees to implement all changes in U.S. Postal Service regulations within 3 working days of receiving any changes provided by the U.S. Postal Service or Franchisor.

According to the 2025 Annex Brands Franchise Disclosure Document, franchisees must maintain a high standard of quality and service at their Centers and cooperate with Annex Brands to uphold these standards. This includes adhering to mandatory specifications, standards, and operating procedures related to the Center's image, appearance, layout, design, and decor, which is referred to as trade dress. Franchisees must also comply with standards for notices, signs, displays, graphics, marketing and advertising materials, business forms, print and digital communications, and other materials.

Annex Brands franchisees are responsible for the continuous cleaning, repair, refurnishing, and remodeling of their Centers, as well as ensuring the proper type, brand, appearance, and functioning of equipment, computer systems, products, fixtures, and furnishings. The appearance and demeanor of the Center's personnel, including the wearing of name tags and logo apparel, must also meet Annex Brands' standards. Franchisees must follow approved marketing methods or programs, digital or online communications, and properly use and protect the Marks and Confidential Information, as well as prepare and retain records as required.

The Annex Brands franchisee must maintain the Center in a condition and appearance consistent with the System's required uniform image, presenting it as a modern, clean, attractive, and efficiently operated business that offers high-quality products with friendly, creative, and efficient service. This includes performing necessary maintenance, such as continuous cleaning, periodic decoration, repairs, or remodeling of both the interior and exterior of the Center. Worn-out or obsolete leasehold improvements, furnishings, fixtures, equipment, displays, signs, and graphics must be replaced with approved items. New flooring is required, and the interior must be repainted to Annex Brands' specifications at least once every 60 months. Tile flooring must be cleaned daily and polished at least semi-annually, while carpet flooring must be cleaned daily and dry-cleaned at least semi-annually to maintain a clean appearance.

If an Annex Brands franchisee fails to maintain the required condition and appearance, Annex Brands can access the Center with three days' notice to arrange for necessary services such as cleaning, repair, remodeling, upgrading, painting, or decorating, and replace necessary items. The franchisee is responsible for covering all costs within 10 days of receiving an invoice from Annex Brands. Failure to provide access or reimbursement can lead to default and enforcement actions under the franchise agreement. Furthermore, franchisees must use forms, packaging materials, print materials, labels, and other supplies that conform to Annex Brands' specifications and quality standards, and/or are purchased from approved suppliers, which may include Annex Brands or its affiliates.
