What This Means (2025 FDD)
According to the 2025 FDD, Annex Brands franchisees receive usernames and passwords to access the company's Intranet, email, and website portals, if these are established. Annex Brands may change these passwords periodically after providing written notice, or without notice if a security compromise is suspected.
Franchisees must not disclose their passwords to anyone not directly supervised by them or without a need to know the password. They must also ensure that all supervised personnel with access to the password understand and adhere to confidentiality obligations. The franchisee is responsible for any breach of confidentiality by their personnel or agents to whom they distribute passwords and agrees to indemnify Annex Brands against any losses resulting from such breaches.
Furthermore, franchisees must prevent unauthorized access to the Annex Brands Intranet. These measures are in place to protect sensitive company information and maintain the integrity of the Annex Brands network. Failure to comply with these password and confidentiality requirements could lead to termination or suspension of access to the Intranet, newsgroups, bulletin boards, and libraries, although it would not automatically terminate the entire Franchise Agreement.
