rds: Libraries. In addition to our website, we may establish a private Intranet area, newsgroups, bulletin boards, or libraries for our franchisees that can be accessed only by means of user names and passwords. We intend to provide support to our franchisees through this Intranet, private newsgroups, bulletin boards, and libraries and will allow for a dynamic means of electronic communication among franchisees. Franchisee agrees to monitor the Intranet, newsgroups, bulletin boards, and libraries on a regular basis. Our Intranet, these newsgroups, the bulletins and our libraries are intended to be accessible only to us and our franchisees, not to the general public. We may monitor the newsgroups and any email sent, uploaded or accessed using the user name and password referred to in Section 3. We will remove any content that does not comply with our Internet Code of Conduct. We may terminate or suspend your access to our Intranet newsgroups, bulletins boards, and libraries without terminating this Agreement.

- Passwords & Confidentiality. You will receive a user name and passwords for utilizing our Intranet, email and website portals, if established. We may change your passwords periodically after giving you prior written notice. We may change your passwords without notice if an alleged compromise exists. You agree not to disclose your password to any person or entity who is not under your direct supervision and who does not have a need to know such password. You agree to inform all persons under your supervision who may have access to such password of this obligation of confidentiality and you agree to indemnify and hold us harmless for any default of confidentiality by such persons. You are responsible for the personnel and agents to whom you distribute passwords. You must refrain from allowing access to our Intranet by any unauthorized party.

What This Means (2025 FDD)

Annex Brands retains the right to monitor these newsgroups and any email sent, uploaded, or accessed using the provided usernames and passwords.
Annex Brands may remove any content that does not comply with its Internet Code of Conduct and can terminate or suspend a franchisee's access to these resources without terminating the entire Franchise Agreement. Franchisees also receive usernames and passwords for the Intranet, email, and website portals, if established, and must keep this information confidential, only sharing it with supervised personnel who need to know it. Franchisees are responsible for any breaches of confidentiality by those they provide passwords to and must prevent unauthorized access to the Intranet.
