What This Means (2025 FDD)
According to Annex Brands's 2025 Franchise Disclosure Document, franchisees are prohibited from allowing unauthorized parties to access the Intranet. Annex Brands may establish a private Intranet area, newsgroups, bulletin boards, or libraries for its franchisees, accessible only with usernames and passwords. This Intranet is intended for communication and support among Annex Brands and its franchisees, not for the general public.
Franchisees receive usernames and passwords for accessing the Intranet, email, and website portals. While Annex Brands may periodically change these passwords with prior written notice, they can also do so without notice if a security compromise is suspected. Franchisees must not disclose their passwords to anyone not under their direct supervision who doesn't need to know them.
Franchisees are responsible for ensuring that personnel and agents with password access maintain confidentiality. Any breach of confidentiality by those with access holds the franchisee liable to indemnify Annex Brands. This highlights the importance of carefully managing and protecting access credentials to the Intranet to maintain security and prevent unauthorized use.
