What This Means (2025 FDD)
According to the 2025 FDD, an Annex Brands franchisee has specific obligations regarding confidential information upon the transfer, expiration, termination, or non-renewal of their franchise agreement. The franchisee must immediately stop using the confidential information in any business or other capacity. This includes ceasing any utilization of the information for their own ventures or any other business-related activities.
Furthermore, the Annex Brands franchisee is required to return all copies of the manuals and any other confidential information that the franchisor had previously provided to them. This ensures that all proprietary knowledge and materials are returned to Annex Brands, protecting their intellectual property and trade secrets.
These measures are standard practice in franchising to safeguard the franchisor's confidential business methods, operational procedures, and other proprietary information. By adhering to these requirements, the franchisee helps maintain the integrity of the Annex Brands system and prevents unfair competition.
