What This Means (2025 FDD)
According to Annex Brands's 2025 Franchise Disclosure Document, a material default of the PostalMate Agreement occurs if the franchisee (referred to as the End User in the agreement) fails to properly mark any copies or reproductions of the PostalMate software with the appropriate copyright and trademark notices. This failure provides grounds for termination of the PostalMate Agreement.
Annex Brands requires that all copies of the PostalMate software provided to the franchisee must include notices of PostalMate's copyrights and trademarks, as well as a notice that the Master Licensee is the exclusive licensee of PostalMate. The franchisee is responsible for ensuring that these markings are present and accurate on any copies or reproductions made.
This requirement is significant because it protects PostalMate's intellectual property rights and ensures that all users of the software are aware of these rights. For a prospective Annex Brands franchisee, this means they must be diligent in maintaining the copyright and trademark markings on any copies of the PostalMate software they use or reproduce. Failure to do so could result in the termination of their PostalMate Agreement, which is essential for operating their franchise effectively.
