What This Means (2025 FDD)
Based on the 2025 FDD, an Annex Brands franchisee must sign a Retail Center Franchise Agreement. While the excerpts provided do not explicitly detail clauses related to competition and solicitation within this agreement, they do highlight the franchisee's commitment to maintaining high standards and operating within the Annex Brands system.
Specifically, the franchisee agrees not to use the center for any purpose other than operating it in compliance with the agreement, without prior written consent from Annex Brands. They must also adhere to all mandatory specifications, standards, and operating procedures. This includes maintaining the trade dress, using approved marketing materials, and protecting confidential information.
Prospective franchisees should carefully review the Retail Center Franchise Agreement for specific clauses addressing non-competition during the franchise term and any restrictions on soliciting employees or customers after the franchise ends. It is important to understand the scope and duration of these restrictions to assess their potential impact on future business activities.
To gain a comprehensive understanding of these obligations, a potential franchisee should ask Annex Brands for a full copy of the Retail Center Franchise Agreement and seek legal counsel to review the document before signing.
