This Agreement may be executed by the parties in this Agreement in separate counterparts, each of which when so executed and delivered will be an original, but all such counterparts will together constitute but one and the same instrument. What This Means (2025 FDD)
According to Zoomin Groomin's 2025 Franchise Disclosure Document, the Franchise Agreement can be executed electronically. Specifically, the agreement may be signed and delivered via email, facsimile, or other electronic means. These electronic signatures have the same legal effect as a hardcopy signature with traditional ink. This clause reflects the principles of the E-Sign Act, which validates electronic signatures in contracts.
For a prospective Zoomin Groomin franchisee, this means you can sign the Franchise Agreement and related documents remotely. You do not necessarily need to be physically present to sign the agreement. This can expedite the process of finalizing the franchise agreement.
However, it is important for a franchisee to understand all the terms and conditions before signing, whether electronically or in person. If a personal guaranty is required, the franchisee should carefully review the obligations created by that guaranty. While electronic signatures are legally binding, franchisees should ensure they fully comprehend the documents they are signing.
