What This Means (2025 FDD)

According to Zoomin Groomin's 2025 Franchise Disclosure Document, the purpose of the Non-Disclosure Agreement (NDA) is to prevent the unauthorized disclosure of the company's confidential information. The NDA, effective as of a specified date in 20, is between Zoomin Groomin USA LLC and the recipient, outlining the terms and conditions regarding confidential information. Zoomin Groomin aims to protect its sensitive business data and processes. The company address is 780 Lynnhaven Pkwy, Suite 240, Virginia Beach, VA 23452.

Confidential Information, as defined in the agreement, includes all data disclosed by Zoomin Groomin to the recipient, whether oral, written, or electronic. This encompasses business processes, financial data, trade secrets, customer lists, agreements, manuals, operating materials, knowledge, and know-how. The agreement emphasizes that this information is confidential regardless of whether it is explicitly designated as such at the time of disclosure. However, information already in the recipient's possession, publicly available through no fault of the recipient, or rightfully received from a third party without confidentiality obligations is excluded from this definition.

The NDA strictly prohibits the recipient from communicating, divulging, or using any Confidential Information for the benefit of any other person, partnership, association, or corporation, either during the agreement's term or afterward. The recipient is only authorized to use the Confidential Information as permitted by Zoomin Groomin. Furthermore, the recipient must take reasonable measures to prevent unauthorized access to Confidential Information in their possession. This obligation to maintain confidentiality ensures that the franchisee protects Zoomin Groomin's proprietary information, which is standard practice in franchising to maintain a competitive advantage and protect trade secrets.

For a prospective Zoomin Groomin franchisee, this means they will be legally bound to protect the franchisor's confidential business information. This includes everything from operational manuals to customer lists and financial data. Violation of the NDA could lead to legal repercussions, so it's crucial for franchisees to understand and adhere to its terms. Franchisees should carefully review the NDA and seek legal counsel if they have any questions or concerns about their obligations.
