Does Stretch Zone have an obligation to use any suggestions I make for improving the Business System?

Section 4.19 OPERATIONAL SUGGESTIONS
You are encouraged to submit to us written suggestions for improving elements of the Business System, including products, services, equipment, service format, advertising and any other relevant matters for our consideration. You agree that any suggestions you make are our exclusive property. We have no obligation to use any suggestions. You may not use any suggestion inconsistent with your obligations under this Agreement without our written consent.

L. § 680 et seq.), which describes the time period a Franchise Disclosure Document (offering prospectus) must be provided to a prospective franchisee before a sale may be made. New York law requires a franchisor to provide the Franchise Disclosure Document at the earliest of the first personal meeting or ten (10) business days before the execution of the franchise or other agreement or the payment of any consideration that relates to the franchise relationship. What This Means (2025 FDD)
According to Stretch Zone's 2025 Franchise Disclosure Document, while franchisees are encouraged to submit suggestions for improving the Business System, Stretch Zone is under no obligation to implement those suggestions. The Business System includes elements such as products, services, equipment, service format, and advertising. Any suggestions a franchisee makes become the exclusive property of Stretch Zone.
This means that as a Stretch Zone franchisee, you can proactively contribute ideas to enhance the franchise system. However, Stretch Zone retains full discretion over whether to adopt and implement your suggestions. You are also prohibited from using any suggestion that conflicts with your obligations under the Franchise Agreement without Stretch Zone's explicit written consent.
This clause is fairly standard in franchising, as franchisors typically want to maintain tight control over brand standards and operational consistency. While Stretch Zone values franchisee input, it ultimately reserves the right to make all final decisions regarding changes to the Business System. Franchisees should view this as an opportunity to contribute to the network's evolution, but with the understanding that implementation is not guaranteed.
