  • (d) No Encumbrance. You will not use any of the Intellectual Property as security for any obligation or indebtedness.

Source: Item 8 — Receipts. Any sale made must be in compliance with § 683(8) of the Franchise Sale Act (N.Y. Gen. Bus. L. § 680 et seq.), which describes the time period a Franchise Disclosure Document (offering prospectus) must be provided to a prospective franchisee before a sale may be made. New York law requires a franchisor to provide the Franchise Disclosure Document at the earliest of the first personal meeting or ten (10) business days before the execution of the franchise or other agreement or the payment of any consideration that relates to the franchise relationship. What This Means (2025 FDD)

According to the 2025 Stretch Zone FDD, franchisees are explicitly prohibited from using any of the company's intellectual property as security for any kind of financial obligation or debt. This restriction is a standard practice in franchising, designed to protect the franchisor's brand and intellectual property rights.

This means a Stretch Zone franchisee cannot leverage the brand's trademarks, patents, or other intellectual property assets to secure loans or other forms of financing. This restriction helps Stretch Zone maintain control over its brand and prevents franchisees from potentially encumbering the brand's assets with debt that could arise from the franchisee's business operations.

The franchisee's use of Stretch Zone's intellectual property is limited to operating their franchise business at the approved location and in accordance with Stretch Zone's standards. This includes using the principal trademark as the sole service mark identification for the franchise business and displaying it prominently on authorized materials. This ensures consistent brand representation across all franchise locations and protects the integrity of the Stretch Zone brand.
