Franchisor may assist Franchisee, as it deems appropriate in its discretion, in developing and conducting the Initial Marketing Investment (as defined and described more fully in Section 9 of this Agreement), which program will be conducted at Franchisee's expense.

The Fund will be maintained and administered by Franchisor or Franchisor's designee as follows:

    1. Franchisor will use the fund and all contributions to it and any earnings on it, for preparing, directing, conducting, placing, and administering advertising, marketing, public relations, and/or promotional programs and materials, and any other activities, that Franchisor believes would enhance the image of the System, Proprietary Marks, and Approved Products or Services.
    1. Franchisor is not obligated to spend monies from Fund in any particular Franchisee's market in proportion to the payments to the Fund made by the Franchisee in that market. What This Means (2025 FDD)

According to Spray Net's 2025 Franchise Disclosure Document, the franchisor may assist franchisees in developing and conducting an Initial Marketing Investment program. This program is conducted at the franchisee's expense, and the franchisor determines the extent and nature of the assistance provided. This assistance is detailed further in Section 9 of the Franchise Agreement.

Spray Net may also maintain a fund to collect and administer advertising fees from franchisees, using these funds for advertising, marketing, public relations, and promotional programs. These activities are intended to enhance the image of the Spray Net system, proprietary marks, and approved products or services. However, Spray Net is not obligated to spend monies from the fund in any specific franchisee's market in proportion to their payments into the fund, and makes no guarantees about the amount of advertising funds that will be spent locally, regionally, or nationally.

The fund can cover various costs related to maintaining and directing advertising, including digital marketing content, training, technology, and developmental tools. This includes direct mail advertising, marketing surveys, public relations, website development, promotional items, and other marketing services. The fund may also cover the proportionate salary share of Spray Net's employees involved in advertising, promotion, or fund administration, including administrative costs and overhead expenses. However, the fund cannot be used for Spray Net's general operating expenses, except for those allocated to advertising activities.

Prospective franchisees should note that while Spray Net offers assistance with initial marketing and manages an advertising fund, the ultimate responsibility for the costs of the initial marketing investment lies with the franchisee. Additionally, franchisees have no guarantee that the fees they pay into the advertising fund will be used to directly benefit their specific market. It is important for potential franchisees to carefully review Section 9 of the Franchise Agreement and to seek clarification from Spray Net regarding the specifics of the initial marketing assistance and the use of advertising funds in their region.
