What This Means (2025 FDD)
According to Spray Net's 2025 Franchise Disclosure Document, upon the expiration or termination of the Franchise Agreement, a franchisee must immediately return any electronic or hard copies of the manuals. These manuals should never be used for any competitive purpose. This obligation survives the term of the agreement.
This means that when the franchise agreement ends, either through its natural expiration or due to termination, the franchisee is legally obligated to return all versions of the Spray Net operations manuals. This includes both digital versions stored on computers or other devices and any printed copies.
The restriction on using the manuals for competitive purposes highlights Spray Net's concern about protecting its proprietary information and operational methods. By requiring the return of the manuals and prohibiting their use in any competing business, Spray Net aims to prevent franchisees from using their knowledge gained during the franchise term to unfairly compete against the Spray Net system after the agreement ends. This is a fairly standard clause in franchise agreements, as franchisors need to protect their intellectual property and brand standards.
