As of the Issuance Date of this Disclosure Document, there is no litigation pending arising out of our Proprietary Marks, and we are not aware of any infringing use of our Proprietary Marks. Presently, there are not any effective material determinations of the USPTO, the Trademark Trial and Appeal Board, the trademark administrator of any state, province, territory, or region, or any court adverse to our rights in the Proprietary Marks, nor are there any pending infringement, opposition, cancellation proceedings, or material litigation, involving the Proprietary Marks.

Spray Net assures that franchisees are granted a non-exclusive license to use their Proprietary Marks, including the principal mark SPRAY-NET, which are registered with the United States Patent and Trademark Office (USPTO). The registration numbers for SPRAY-NET are 7702917 and 7702918, both registered on February 25, 2025.

Spray Net's affiliate, SN Quebec, owns the Proprietary Marks and licenses them exclusively to Spray Net. This license allows Spray Net to franchise the system globally. Franchisees can continue using the Proprietary Marks until their Franchise Agreement expires or terminates, even if the Trademark License between SN Quebec and Spray Net is terminated. Franchisees must adhere to Spray Net's standards for using the Proprietary Marks, and any goodwill associated with the marks remains Spray Net's property. Franchisees cannot use the Proprietary Marks as part of their company name without prior written consent and cannot modify the marks without authorization.

Prospective franchisees should note that they must notify Spray Net in writing of any unauthorized use of the Proprietary Marks and allow Spray Net to participate in any related litigation. While Spray Net is not required to defend franchisees against claims, they will reimburse reasonable expenses incurred in legal proceedings disputing authorized use of the marks, provided franchisees notify them promptly and comply with their directions. However, Spray Net will not cover expenses for independent legal counsel or costs for removing signage if a mark is discontinued or modified.
