Are there exceptions to the refurbishment and upgrade requirements for a Spray Net franchise?
Spray_Net Franchise · 2025 FDDAnswer from 2025 FDD Document
Franchisee must maintain at all times during the term of this Agreement and any renewals hereof, at Franchisee's expense, the Approved Vehicles, the Franchised Business, and all equipment, fixtures, furnishings, signs, artwork, décor items and inventory therein as necessary to comply with Franchisor's standards and specifications as prescribed in the Manuals or otherwise in writing.
Franchisee must also make such additions, alterations, repairs, and replacements to the foregoing as Franchisor requires.
At Franchisor's request, which shall not be more often than once every five (5) years, Franchisee shall refurbish and upgrade the Approved Vehicles, any equipment thereon, and other components of the Franchised Business at its expense, to conform to the building design, trade dress, color schemes, and presentation of Proprietary Marks consistent with Franchisor's then-current standards and conditions for the System, including without limitation, redecoration, remodeling, and modifications to existing improvements, but specifically excluding vehicle wraps, lettering, and/or trade dress for those vehicles used in the operation of the Franchised business that may be updated more frequently (collectively, the "Vehicle Updates").
Franchisee shall have twelve (12) months from its receipt of Franchisor's request to complete the change, except that Franchisee is required to complete any Vehicle Updates within four (4) months of Franchisor's request.

What This Means (2025 FDD)
According to the 2025 Spray Net Franchise Disclosure Document, franchisees must maintain approved vehicles, the franchised business location, and all related equipment to meet Spray Net's standards. Spray Net can request franchisees to refurbish and upgrade these items, but there is a specific exclusion for vehicle wraps, lettering, and trade dress on vehicles used in the franchise operation. These "Vehicle Updates" may be updated more frequently than the general refurbishment schedule.
Spray Net can request these refurbishments no more than once every five years. Franchisees have 12 months from the request date to complete the changes, but Vehicle Updates must be completed within four months of the request. This means that while major renovations are on a longer cycle, changes to vehicle appearance are expected to be implemented more quickly.
This distinction is important for prospective Spray Net franchisees to understand because it highlights the ongoing investment required to maintain brand standards. While a full refurbishment is only expected every five years, franchisees should be prepared for more frequent updates to their vehicle's appearance. This could impact budgeting and operational planning, as vehicle updates will need to be addressed more promptly than other upgrades.
