What This Means (2025 FDD)
According to Spray Net's 2025 Franchise Disclosure Document, Spray-Net retains specific rights regarding access to the Spray-Network software, particularly in cases of a franchise agreement breach or termination. While the FDD does not explicitly state that Spray Net can remotely access a franchisee's entire computer system, it does say that Spray-Net can restrict access to the Spray-Network platform if a franchisee fails to pay invoices, breaches the franchise agreement, or upon termination of the franchise. The Spray-Network is the proprietary software of Spray-Net, and franchisees are authorized to use the software to manage their franchise, including adding/removing users and managing administration.
This access to the Spray-Network is contingent upon the franchisee remaining in good standing, adhering to the franchise agreement, and maintaining software license fee payments. If an employee is no longer an active owner, the Franchise Owner must remove the user from the Spray-Network, fully revoking access to the platform. Franchisees are responsible for complying with privacy policies and notifying Spray-Net of specific conditions and laws related to third-party privacy and confidentiality regulations.
Prospective franchisees should note that Spray Net can modify the Spray-Network system and that franchisees are responsible for verifying the accuracy of price and paint volume calculations within the software. Spray Net is not responsible for suggested pricing and paint quantities in the Spray-Network, nor is it responsible for loss or stalling of work and operations, difference in prices and pricing, or paint. Franchisees also bear the risk of issues impacting their operations, such as loss of internet connection, failure to use modules correctly, bugs, or failure to refresh the cache after system updates. Therefore, while Spray Net does not explicitly state it can access a franchisee's entire computer system, it does retain control over access to its proprietary Spray-Network software and can restrict or revoke access under certain conditions.
