CONDITIONAL ASSIGNMENT OF TELEPHONE NUMBERS AND DOMAIN NAMES
- , doing business as Franchised Business (the "Assignor"), in exchange for valuable consideration provided by SPRAY-NET INC. (the "Assignee"), receipt of which ishereby acknowledged hereby conditionally assigns to Assignee all telephone numbers, facsimile numbers,domain names, as well as any listings associated therewith, utilized by Assignor in the operation of its SPRAY-NET franchised business located at (collectively, the"Assigned Property"). The Assigned Property includes the following: Telephone Number(s): Facsimile Number(s): Domain Name(s) (as permitted by Franchisor under the Franchise Agreement): 2. - Scope of Use: The Licensed User is hereby authorized as the Franchise Partner role to use the software The Spray-Network to add and remove users within the software under their 'franchise', manage the administration and onboarding of these users to the platform.

- The Spray-Network is intended to be used on a Chrome Browser, Desktop and/or iPad. The list view and production sheet modules are also available on Mobile devices.

- The Quotation module for the scope of providing quotes is to be completed on Chrome on an iPad with mobile data. It is not intended to be utilized with a mobile hot spot.
Permitted Users: The users added to the Spray-Network under a franchise location are limited to employees or business partners of the said Franchise location.

What This Means (2025 FDD)
According to Spray Net's 2025 Franchise Disclosure Document, franchisees are required to execute documents related to telephone numbers and domain names upon termination or expiration of the franchise agreement. Specifically, Exhibit F outlines a Conditional Assignment of Telephone Numbers and Domain Names, which the franchisee (Assignor) conditionally assigns to Spray-Net Inc. (Assignee). This assignment becomes effective automatically upon termination or expiration of the franchise.
Upon termination or expiration, the franchisee must take all necessary actions to ensure the assignment of the telephone numbers and domain names to Spray Net is effective, as if Spray Net were the original recipient of these properties. The franchisee is also responsible for paying any outstanding amounts owed for the use of the assigned property up to the date the assignment becomes effective. Furthermore, the franchisee agrees to indemnify Spray Net for any sums Spray Net must pay to the telephone company or domain name registrar to effectuate the agreement and must cooperate fully with these entities to complete the assignment.
Additionally, the franchisee acknowledges that after termination or expiration of the agreement, continued use of the Spray Net name or similar names in advertising or telephone listings would cause substantial public confusion. Therefore, the franchisee agrees to direct the telephone company, upon Spray Net's request, to disconnect or transfer the telephone number used in connection with the franchised business to Spray Net or its designee. If the franchisee fails to take these steps, Spray Net is irrevocably appointed as the franchisee's attorney-in-fact to accomplish the transfer. Spray Net is deemed the subscriber of such telephone numbers with full authority to manage the use and disposition of telephone listings and numbers, and the franchisee agrees to release, indemnify, and hold the telephone companies harmless from any damages resulting from following Spray Net's instructions.
