We may provide any alternate supplier you propose with a copy of our then-current specifications for any product(s) you wish the supplier to supply, provided the supplier enters into a confidentiality and non-disclosure agreement in the form we specify. We may also inspect a proposed supplier's facilities and test its products, and request that you reimburse our actual costs associated with the testing/inspection.

What This Means (2025 FDD)
According to Spray Net's 2025 Franchise Disclosure Document, Spray Net may provide its product specifications to a proposed alternative supplier. However, Spray Net is not obligated to do so. If a franchisee wants to purchase from a non-approved supplier, they must first request and receive written approval from Spray Net.
As part of the approval process, Spray Net may ask the franchisee to submit samples or information to ensure the proposed supplier meets Spray Net's specifications and quality standards. Spray Net will evaluate the supplier's production and delivery capability, business reputation, and financial condition. If Spray Net decides to provide the alternative supplier with product specifications, the supplier must enter into a confidentiality and non-disclosure agreement. Spray Net also has the right to inspect the supplier's facilities and test its products, with the franchisee responsible for reimbursing Spray Net's actual costs associated with the testing and inspection.
Spray Net will notify the franchisee in writing within 30 days after receiving all necessary information or completing the inspection and testing, advising whether the proposed supplier is approved or disapproved. The criteria Spray Net uses for approving or rejecting suppliers are proprietary, but Spray Net may make them available to the franchisee upon request. Approved suppliers must comply with Spray Net's requirements regarding insurance, indemnification, and non-disclosure. Spray Net may re-inspect or revoke approval of a supplier at any time to protect the interests of the Spray Net system. If approval is revoked, the franchisee must immediately stop placing new orders with the supplier.
