What This Means (2025 FDD)
According to Spray Net's 2025 Franchise Disclosure Document, the language within the Personal Guaranty will be interpreted according to its plain and ordinary meaning, ensuring neither party benefits from a strict interpretation in their favor. This means that the terms and conditions outlined in the guaranty will be understood in a fair and balanced manner, without leaning towards the interests of either Spray Net or the franchisee.
Additionally, any terms defined in the Franchise Agreement but not specifically defined in the Guaranty will carry the same meaning as in the Franchise Agreement. This ensures consistency and avoids potential confusion or disputes arising from differing interpretations of the same terms. All words used in the Guaranty will be interpreted to reflect the appropriate number or gender based on the context, and if multiple individuals are referred to as 'you,' their obligations and liabilities will be considered joint and several, meaning each individual is fully responsible for the entire obligation.
Furthermore, the headings used within the Guaranty are solely for reference and do not govern the interpretation of the clauses themselves. References to 'Franchisor,' 'the undersigned,' or 'you' include the respective parties' heirs, successors, assigns, or transferees, extending the obligations and benefits to those who inherit or acquire the rights and responsibilities of the original parties. This comprehensive approach to construction ensures clarity and fairness in the enforcement of the Personal Guaranty.
