What items might Spray Net designate as Required Items for use in connection with the Franchised Business?

  • H. Compliance with Applicable Laws. Franchisee must at all times conduct and operate the Franchised Business in accordance with all federal, state, and local laws, ordinances, and regulations applicable thereto.
  • I. Approved Vehicle; Other Required Items. Franchisee must: (i) purchase, lease, and/or maintain any and all Required Items that Franchisor designates for use in connection with the Franchised Business that may include, without limitation, the Mobile Services Unit, Approved Vehicle, Computer System, equipment, supplies, inventory; (ii) ensure that all Required Items meet Franchisor's standards and specifications; and (iii) purchase all items Franchisor specifies from the Approved Supplier(s) that Franchise designates, which may include Franchisor or its affiliate(s). Franchisee agrees and acknowledges that Franchisor and/or its affiliates may derive revenue from the offer and sale of Required Items.

Franchisee shall cause the Mobile Services Unit and Approved Vehicle to be wrapped or painted in signage and artwork as approved by Franchisor prior to opening the Franchised Business. Franchisee agrees to maintain any Approved Vehicle in good mechanical condition and an appearance that properly represents Franchisor's brand to the public and to improve vehicle appearance at the request of the Franchisor.

  • J. Required Purchases of Inventory and Supplies. Franchisee must purchase all inventory and supplies required by Franchisor to sell and provide the Approved Products and Approved Services, as well as thereafter maintain such inventory/supply levels, as Franchisee deems reasonably necessary and appropriate, to meet current customer demand and any anticipated customer demand in the near future.
  • K. Inspection of Items. Franchisee shall permit Franchisor or its agents, at any reasonable time, to remove from the Franchised Business samples of items without payment therefor, in amounts reasonably necessary for testing by Franchisor or an independent, certified laboratory to determine whether said samples meet Franchisor's then-current standards and specifications. In addition to any other remedies it may have under this Agreement,

Franchisor may require Franchisee to bear the cost of such testing if the supplier of the item has not previously been approved by Franchisor, or if the sample fails to conform to Franchisor's specifications.

  • L. Alternative Supplier Approval. If Franchisee wishes to purchase any unapproved item, including inventory, and/or acquire approved items from an unapproved supplier, Franchisee must provide Franchisor the name, address and telephone number of the proposed supplier, a description of the item Franchisee wishes to purchase, and the purchase price of the item, to the extent known. At Franchisor's request, Franchisee must also provide Franchisor, for testing purposes, a sample of the item Franchisee wishes to purchase.

What This Means (2025 FDD)

According to Spray Net's 2025 Franchise Disclosure Document, franchisees must purchase, lease, and/or maintain any and all Required Items that Spray Net designates for use in connection with the Franchised Business. These Required Items may include the Mobile Services Unit, Approved Vehicle, Computer System, equipment, supplies, and inventory. All Required Items must meet Spray Net's standards and specifications, and franchisees must purchase these items from the Approved Supplier(s) that Spray Net designates, which may include Spray Net or its affiliates. Spray Net and/or its affiliates may derive revenue from the offer and sale of Required Items.

Prior to opening the Franchised Business, franchisees must purchase the "Production Supplies Kit" and the "Sales Kit" (or the items that Spray Net designates as constituting these two kits) from Spray Net and/or its approved and/or designated suppliers. Upon signing the franchise agreement, franchisees must pay Spray Net between $5,000 and $8,000 for the initial package of business supplies, known as the "Marketing Kit." This kit includes items such as uniforms, marketing brochures, letterhead, and business cards for use in operating the Franchised Business.

Spray Net also requires franchisees to purchase all inventory and supplies necessary to sell and provide the Approved Products and Approved Services. Franchisees must maintain inventory/supply levels deemed reasonably necessary and appropriate to meet current and anticipated customer demand. Spray Net retains the right to inspect items used in the Franchised Business, and franchisees may be required to bear the cost of testing if the supplier of the item has not been previously approved by Spray Net or if the sample fails to conform to Spray Net's specifications.

Franchisees are also required to use at least one email address provided by Spray Net in connection with the Franchised Business, and this must be the only email address used for the business. Spray Net may also develop and provide franchisees with private label products or other merchandise bearing the Proprietary Marks to be used and/or offered and sold as part of the Approved Services. Franchisees may be required to purchase these items from Spray Net or any other Approved Supplier that Spray Net designates.
