What This Means (2025 FDD)
Based on the 2025 Spray Net Franchise Disclosure Document, Spray Net is indeed in the business of granting franchises. This is evidenced by multiple references to 'Franchisee' and 'Franchisor' throughout the document, indicating a franchise relationship. The document outlines the rights and responsibilities of both parties, the designated territory in which a franchisee can operate, and the conditions under which Spray Net may offer or sell franchise rights to others.
The FDD details the unique system that Spray Net has developed for operating a business offering painting-related products and services. This system, which Spray Net licenses to franchisees, includes proprietary methodology, standards for supplies and equipment, marketing strategies, training programs, and operational manuals. The document also discusses the use of Spray-Net's proprietary software, Spray-Network, by franchisees and their employees, further illustrating the franchisor-franchisee relationship.
Furthermore, the franchise agreement includes provisions for personal guarantees from owners/principals of the franchisee entity, as well as their spouses, indicating that Spray Net enters into franchise agreements with both individuals and business entities. The document also reserves specific rights for the franchisor, such as the right to operate or license others to operate Spray-Net businesses outside the franchisee's designated territory, and to use the proprietary marks and system in alternative channels of distribution. These clauses are typical in franchise agreements, allowing the franchisor to maintain control over the brand and its expansion.
