What This Means (2025 FDD)

According to Spray Net's 2025 Franchise Disclosure Document, upon termination or expiration of the franchise agreement, a franchisee must remove all trade dress, physical characteristics, color combinations, and other indications of operation under the Spray Net system from both the premises and any approved vehicles. The franchisee is also required to provide documentation to the franchisor as evidence of compliance with this removal process, as detailed in Section 16(G) of the franchise agreement.

This requirement ensures that after the franchise agreement ends, there is no confusion among customers or the public regarding whether the business is still part of the Spray Net franchise system. By removing all branding and indications of the Spray Net system, the franchisee is prevented from continuing to operate under the Spray Net name or system without authorization. This protects the integrity of the Spray Net brand and prevents potential misuse or misrepresentation.

In addition to removing the specified items, the franchisee may also be required to provide all materials bearing the proprietary marks to Spray Net upon expiration or termination of the agreement, without cost to Spray Net. Furthermore, the franchisee must comply with post-term covenants, including non-compete agreements, and pay all outstanding amounts owed to Spray Net and its approved suppliers. These obligations collectively ensure a clean break between the franchisee and the Spray Net franchise system, safeguarding the franchisor's interests and brand reputation.
