What This Means (2025 FDD)

According to the 2025 Spray Net FDD, upon termination of the franchise agreement, a franchisee must remove all trade dress, physical characteristics, color combinations, and other indications of operation under the Spray Net system from both the premises and any approved vehicles. The franchisee is also required to provide documentation to Spray Net confirming that these steps have been completed, as specified in Section 16(G) of the franchise agreement.

This requirement ensures that after the franchise agreement ends, the franchisee does not continue to represent themselves as part of the Spray Net system. This protects Spray Net's brand identity and prevents potential confusion among customers. Failing to properly remove these elements could lead to legal issues or disputes with Spray Net regarding continued use of their trademarks and system.

In addition to removing these elements, the franchisee must also provide all materials bearing Spray Net's proprietary marks to Spray Net upon expiration or termination of the agreement, at no cost to Spray Net. The franchisee must also provide written evidence of compliance with all post-term obligations within 30 days of termination or scheduled expiration. These obligations are typical in franchise agreements to ensure a clean break and protect the franchisor's brand and intellectual property.
