What This Means (2025 FDD)
According to the 2025 Spray Net Franchise Disclosure Document, as part of the franchise agreement, the franchisee acknowledges specific rights that Spray Net reserves for itself and its affiliates. These reserved rights cover various aspects of Spray Net's business operations and brand management. The franchisee agrees not to contest Spray Net's right to conduct these activities.
Spray Net retains the exclusive right to own and operate franchised businesses or license others to do so outside the franchisee's designated territory. Spray Net also reserves the right to operate businesses under different brand names, even within the franchisee's territory, as long as these businesses do not primarily offer painting products and services. Additionally, Spray Net can use its trademarks and system for various purposes, including selling products through different channels like wholesale, retail, internet, or mail order catalogs, without any territorial restrictions. Finally, Spray Net can use its trademarks and system for any activities not explicitly prohibited in the franchise agreement.
This reservation of rights has several implications for a Spray Net franchisee. It clarifies that the franchisee's rights are limited to their designated territory and do not extend to other areas or business activities of Spray Net. The franchisee cannot claim exclusivity over the Spray Net brand outside their territory or prevent Spray Net from exploring alternative distribution channels. While the franchisee operates their business, Spray Net retains considerable freedom to expand and diversify its operations, potentially impacting the franchisee's market and revenue streams. A prospective franchisee should carefully consider these reserved rights and how they might affect their business before investing in a Spray Net franchise.
