What This Means (2025 FDD)
According to Spray Net's 2025 Franchise Disclosure Document, franchisees are prohibited from using the franchise's manuals for any competitive purpose after the termination or expiration of the franchise agreement. The FDD states that upon termination or expiration of the agreement, all electronic or hard copies of the manuals must be immediately returned and not used for competitive purposes. This restriction survives the term of the agreement, meaning it remains in effect even after the franchise relationship ends.
This provision is designed to protect Spray Net's confidential information and trade secrets, which are crucial to maintaining its competitive edge. The manuals contain proprietary information, procedures, and techniques that are essential to the operation of a Spray Net franchise. Allowing a former franchisee to use these materials for a competing business would undermine the value of the franchise system and could cause significant harm to Spray Net.
For a prospective Spray Net franchisee, this means that they cannot leverage the knowledge and information gained from the manuals to start or operate a competing business after the franchise agreement ends. This restriction is in addition to other non-compete clauses that may be in place, which could further limit the franchisee's ability to engage in similar businesses within a certain geographic area and timeframe after termination or expiration of the agreement. Franchisees should carefully consider these restrictions before entering into a franchise agreement with Spray Net.
