What factors can Spray Net consider when approving a proposed item or supplier for a Spray Net franchisee?

If Franchisee wishes to purchase any unapproved item, including inventory, and/or acquire approved items from an unapproved supplier, Franchisee must provide Franchisor the name, address and telephone number of the proposed supplier, a description of the item Franchisee wishes to purchase, and the purchase price of the item, to the extent known.
At Franchisor's request, Franchisee must also provide Franchisor, for testing purposes, a sample of the item Franchisee wishes to purchase.
If Franchisor incurs any costs in connection with testing a particular product or evaluating an unapproved supplier at Franchisee's request, Franchisee must reimburse Franchisor for Franchisor's reasonable testing costs, regardless of whether Franchisor subsequently approves the item or supplier.
Franchisor will use commercially reasonable efforts to notify Franchisee in writing whether or not Franchisee's request is approved or denied within thirty (30) days of: (i) Franchisor's receipt of all supporting information from Franchisee regarding Franchisee's request under this Section; and (ii) if applicable, Franchisor's completion of any inspection or testing associated with Franchisee's request.
If Franchisor does not provide written approval within this time period, then Franchisee's request will be deemed denied.
Franchisor may, but is not obligated to, provide Franchisee's proposed supplier with its specifications for the item that Franchisee wishes the third-party to supply, provided that third-party executes Franchisor's prescribed form of non-disclosure agreement.
Each supplier that Franchisor approves must comply with Franchisor's usual and customary requirements regarding insurance, indemnification and non-disclosure.
If Franchisor approves any supplier, Franchisee may enter into supply contracts with such third party, but under no circumstances will Franchisor guarantee Franchisee's performance of any supply contract.

What This Means (2025 FDD)
According to Spray Net's 2025 Franchise Disclosure Document, if a franchisee wants to purchase unapproved items or acquire approved items from an unapproved supplier, they must provide Spray Net with the supplier's name, address, telephone number, a description of the item, and its purchase price. Spray Net can request a sample of the item for testing purposes.
The FDD states that the franchisee is responsible for reimbursing Spray Net's reasonable testing costs if Spray Net incurs costs evaluating the unapproved supplier or testing the product, regardless of whether the item or supplier is ultimately approved. Spray Net will then use commercially reasonable efforts to notify the franchisee in writing of its decision within 30 days of receiving all supporting information and completing any necessary inspections or testing. If written approval is not provided within this timeframe, the request is considered denied.
Spray Net may provide the proposed supplier with its specifications for the item, provided the supplier signs Spray Net's non-disclosure agreement. Any approved supplier must comply with Spray Net's requirements regarding insurance, indemnification, and non-disclosure. While franchisees can enter into supply contracts with approved third parties, Spray Net does not guarantee the franchisee's performance of these contracts.
