What This Means (2025 FDD)
According to the 2025 Spray Net FDD, the 'Spray-Network' is a proprietary software that franchisees are licensed to use. This license is granted to the Franchise Partner, allowing them to add and remove users within the software under their franchise and manage the administration and onboarding of these users to the platform. The software is intended for use on a Chrome Browser, either on a desktop or iPad, with list view and production sheet modules also available on mobile devices. The quotation module, used for providing quotes, is specifically intended for use on Chrome on an iPad with mobile data, and not with a mobile hotspot.
The Spray-Network's use is restricted to employees or business partners of the franchise location. Franchisees must remain in good standing, without any breaches of contract, payment issues, or termination of the franchise agreement, to maintain access. In the event of a closure or termination, Spray Net will determine the appropriate steps and limits regarding access rights to the Spray-Network. Franchise Owners are responsible for removing users who are no longer active employees and must pay software license fees to maintain access.
The FDD specifies that the Spray-Network software cannot be sold, redistributed, reverse engineered, or used in any manner other than intended for the franchise business model. Franchisees are responsible for completing all training related to the Spray-Network and applying the training as outlined when operating the software. They are also responsible for training and supporting their employees on the Spray-Network, and must notify Spray Net if they deem the training materials deficient.
Spray Net retains the right to restrict access to the Spray-Network if a franchisee fails to pay invoices, breaches the franchise agreement, or upon termination of the franchise. Software fees for using the Spray-Network include recurring monthly fixed fees and a weekly tech fee royalty, which accounts for 0.0025 of the total job value produced the previous week. Spray Net can adjust the frequency and amount of these fees and may impose additional fees for major upgrades or integration of third-party applications. The Spray-Network chatbot is the recommended method for users to report issues, with response resolution times varying depending on the issue. Franchise owners are also responsible for verifying price and paint volume calculations within the Spray-Network, as Spray Net is not responsible for the suggested pricing and paint quantities.
