What This Means (2025 FDD)

According to Spray Net's 2025 Franchise Disclosure Document, a 'Spray-Net Business' is defined as a business that offers and provides various types of painting-related products and services that Spray Net authorizes, including proprietary products and corresponding services to existing residential homes, referred to as 'Clients'. This definition is central to understanding the scope of the franchise agreement.

The Spray Net system encompasses proprietary methodology and procedures for operating a Spray-Net Business. It includes standards for supplies, inventory, equipment, and customized chemicals, along with relationships with approved suppliers. The system also involves proprietary training programs, operations manuals, and specifications for advertising and sales. Spray Net retains the right to modify the system over time.

The franchisee's rights are limited to operating the Franchised Business within their designated territory, offering approved services to homes within that area. The franchisee cannot operate the Franchised Business outside of the designated territory unless requested by Spray Net, in which case Spray Net will cover the costs. The agreement does not grant the franchisee the right to open additional Franchised Businesses or to sub-license or sub-franchise any rights. Spray Net reserves the right to operate or license others to operate Spray-Net businesses outside the franchisee's designated territory and to use the Proprietary Marks and System in alternative channels of distribution.
