What This Means (2025 FDD)
Based on the 2025 Spray Net Franchise Disclosure Document, the franchisor's entitlement to possess the franchisee's telephone numbers and domain names is conditional upon the termination or expiration of the franchise agreement.
Specifically, upon termination or expiration of the Spray Net franchise, the franchisee (referred to as the "Assignor") must take all necessary actions to ensure the transfer of the telephone numbers and domain names to Spray Net (referred to as the "Assignee"). This includes cooperating with telephone companies and domain name registrars to facilitate the assignment as if Spray Net were the original owner.
Furthermore, the franchisee is responsible for paying all outstanding amounts owed for the use of the assigned property up to the date the assignment becomes effective and must indemnify Spray Net for any expenses Spray Net incurs to effectuate the agreement. This conditional assignment is outlined in Exhibit F to the Franchise Agreement, which addresses the transfer of telephone numbers and domain names upon the end of the franchise term.
