What This Means (2025 FDD)

According to the 2025 Southern Steer Franchise Disclosure Document, the Closing Acknowledgment, which is attached as Attachment J to the Franchise Agreement, contains capitalized references. To the extent that these capitalized references are not defined within the Closing Acknowledgment itself, they will have the meanings defined in the Franchise Agreement. This means that prospective Southern Steer franchisees should refer back to the main body of the Franchise Agreement to understand the precise legal meaning of those terms.

This is a common practice in franchise agreements to avoid redundancy and maintain consistency in terminology. Franchisees should carefully review both the Closing Acknowledgment and the referenced sections of the Franchise Agreement to fully understand their rights and obligations. The Closing Acknowledgment is designed to confirm that the franchisee understands the agreement they are entering into, and that no unauthorized promises or statements have been made.

Therefore, when reviewing the Closing Acknowledgement, a prospective Southern Steer franchisee must cross-reference the definitions within the Franchise Agreement itself to ensure full comprehension of all terms and conditions. This interconnectedness highlights the importance of thoroughly reading and understanding the entire Franchise Agreement, not just the individual attachments or sections.
