The Franchisor will provide Franchisee with access to the Brand Manual electronically, or on a secure Internet webpage (Intranet), or by another method reasonably adopted by the Franchisor.

The Franchisee will at all times keep its copy of the Brand Manual current and up-to-date, and in the event of any dispute regarding the Brand Manual, the terms of the master copy of the Brand Manual maintained by the Franchisor will be controlling in all respects.

According to Southern Steer's 2025 Franchise Disclosure Document, Southern Steer will provide franchisees with access to the Brand Manual electronically, on a secure Internet webpage (Intranet), or by another method reasonably adopted by Southern Steer. The Brand Manual contains information, advice, standards, requirements, operating procedures, instructions, or policies relating to the Southern Steer brand and system. The Brand Manual includes books, pamphlets, training videos, discs, software, bulletins, memoranda, letters, notices, or other publications or documents prepared by or on behalf of Southern Steer, whether in printed or electronic format, for use by Southern Steer franchisees.

Southern Steer may modify the Brand Manual from time to time, and notify franchisees of such changes via e-mail, postings to an Intranet, mail, teleconference, or facsimile. Franchisees are responsible for implementing all updates and changes at their own cost within the time period specified by Southern Steer. The franchisee must keep its copy of the Brand Manual current and up-to-date. In the event of any dispute regarding the Brand Manual, the terms of the master copy of the Brand Manual maintained by Southern Steer will be controlling in all respects.

Franchisees acknowledge that the Brand Manual is loaned to them and remains the sole and exclusive property of Southern Steer. Franchisees are prohibited from making copies or disseminating the Brand Manual and will only grant access to those employees who must use it in the performance of their duties. Upon expiration or termination of the Franchise Agreement, franchisees must return all copies of the Brand Manual to Southern Steer. Franchisees are also required to use the Brand Manual, Website, URLs containing the Marks or any portion thereof and other proprietary information provided to Franchisee by Franchisor, its Affiliates or on behalf of Franchisor or its Affiliates in the identification, marketing, promotion and operation of Franchisee's Southern Steer Business during the Initial Term and Interim Period and only in compliance with this Agreement and Franchisor's rules and guidelines set out in the Brand Manual.
