What This Means (2025 FDD)
According to Southern Steer's 2025 Franchise Disclosure Document, each Southern Steer business that is a member of the Local Advertising Cooperative has one vote for each Southern Steer business that the member owns and operates in the designated market area. This means that if a franchisee owns and operates multiple Southern Steer locations within the cooperative's area, they will have multiple votes, one for each location.
This voting structure ensures that franchisees with a larger presence in the market have a proportionally larger say in the cooperative's decisions. The Local Advertising Cooperative is formed when the Franchisor deems it necessary, with membership consisting of all franchisee-owned Southern Steer businesses within a defined market area. The purpose of the cooperative is to conduct and administer media advertising, promotion, marketing, and public relations to benefit all Southern Steer businesses in the area.
The cooperative operates under specific rules, including providing members with five days' written notice of meetings, requiring a quorum of a majority of members for meetings to convene, and necessitating a majority vote to pass resolutions or motions. All meetings are to be conducted according to Robert's Rules of Order. This structure ensures that decisions regarding local advertising and marketing are made collectively by the franchisees, with the franchisor retaining approval rights over the cooperative's programs and campaigns.
