We and/or Our Affiliates have copyright rights in websites, mobile applications, advertising copy and design, menu designs, training materials, the Brand Manual, and other written or digital materials, and items may be developed in the future. We have not applied to the U.S. Copyright Office to register these copyrights.

Proprietary Rights

Our Brand Manual, electronic information and communications, sales and promotional materials, the development and use of Our System, standards, specifications, policies, procedures, information, concepts and systems on, knowledge of and experience in the development, operation and franchising of Southern Steer Business, recipes, formulations for and packaging of products, and training, safety, and preparation techniques used to provide products sold at Southern Steer Businesses, information concerning Our products, operating results, financial performance and other financial data of Southern Steer Business and other related materials are proprietary and confidential ("Confidential Information") and are considered to be Our property to be used by You only as described in the Franchise Agreement or the Brand Manual. Where appropriate, certain information, including recipes, has also been identified as trade secrets ("Trade Secrets").

What This Means (2025 FDD)

According to Southern Steer's 2025 Franchise Disclosure Document, Southern Steer and/or its affiliates possess copyright rights for various materials, including websites, mobile applications, advertising designs, menu designs, training materials, and the Brand Manual. These copyrighted materials may expand in the future. However, Southern Steer has not applied to register these copyrights with the U.S. Copyright Office. This means that while Southern Steer asserts ownership of these materials, it has not formally registered them with the federal government.

For a prospective franchisee, this has several implications. While Southern Steer will likely defend its copyright interests, the lack of registration could affect the strength and scope of that defense. Franchisees are obligated to use these materials only as permitted by Southern Steer and must maintain the confidentiality of the Brand's proprietary information. Any unauthorized use of copyrighted materials by a franchisee constitutes an infringement of Southern Steer's rights.

Southern Steer does not know of any current copyright or patent infringements that could materially affect a franchisee's use of copyrighted materials or confidential information. Franchisees must immediately inform Southern Steer of any unauthorized use or challenges to the copyrighted materials. Southern Steer will then take action as it deems appropriate. While Southern Steer is not contractually obligated to protect franchisees against claims of infringement, it is the company's policy to do so when counsel believes protection is warranted, and Southern Steer will cover associated litigation costs. However, franchisees are not indemnified for their own expenses or damages and must cooperate fully with Southern Steer in any related litigation.

In the event Southern Steer decides it is necessary to modify or discontinue the use of any proprietary copyrighted material, franchisees must take action at their own expense to comply with such changes. Franchisees should be aware of these conditions and understand their responsibilities regarding the use and protection of Southern Steer's intellectual property.
