What This Means (2025 FDD)
According to the 2025 Southern Steer Franchise Disclosure Document, a quorum for a meeting of the Local Advertising Cooperative requires a majority of all members to be present. Each Southern Steer business in the designated market area is considered a member, and each member has one vote for each Southern Steer business they own and operate within that area. This ensures that decisions made by the cooperative are representative of the group.
This requirement is significant for prospective franchisees because it ensures that a substantial portion of the cooperative's members must be present for any meeting to be valid. This prevents a small number of members from making decisions that could impact all franchisees within the market area. The rule promotes broader participation and ensures that the interests of a majority of members are considered when making decisions about local advertising and marketing strategies.
Furthermore, the FDD specifies that all meetings will be conducted according to Robert's Rules of Order, which provides a structured framework for conducting meetings and making decisions. This helps to ensure that meetings are fair, orderly, and efficient. Franchisees should familiarize themselves with Robert's Rules of Order to effectively participate in Local Advertising Cooperative meetings and contribute to the decision-making process.
In practical terms, if a Southern Steer Local Advertising Cooperative has ten members, at least six members must be present to constitute a quorum and conduct a valid meeting. This requirement aims to balance the need for efficient decision-making with the importance of ensuring that all members have an opportunity to participate and voice their opinions.
