What This Means (2025 FDD)
According to the 2025 Southern Steer Franchise Disclosure Document, a quorum for a Local Advertising Cooperative meeting is defined as a majority of all members. This means that more than 50% of the Southern Steer franchisees within the designated market area must be present for the meeting to be officially convened and for any votes or resolutions to be considered valid. Each member has one vote for each Southern Steer Business that they own and operate in the market area. Franchisees will receive written notice of any proposed meeting five business days in advance.
This requirement ensures that decisions made by the Local Advertising Cooperative reflect the collective will of the majority of franchisees in the area, preventing a small number of franchisees from dictating advertising and marketing strategies. It also underscores the importance of participation in these meetings, as a franchisee's absence could impact the ability of the cooperative to reach a quorum and make necessary decisions. All meetings are conducted according to Robert's Rules of Order.
For a prospective Southern Steer franchisee, this means that if a Local Advertising Cooperative is established in their market area, they will be expected to attend meetings and participate in the decision-making process. Failure to do so could potentially hinder the cooperative's ability to function effectively. The franchisee should factor in the time commitment required for these meetings when evaluating the overall demands of operating a Southern Steer franchise.
