What This Means (2025 FDD)
According to the 2025 Southern Steer Franchise Disclosure Document, franchisees acknowledge that their Southern Steer business will become identified with the goodwill associated with the brand's Marks during the franchise relationship. This means that as a franchisee operates their Southern Steer location, the reputation and positive image of the Southern Steer brand will become linked to their specific business. This association is a key aspect of the franchise model, where the franchisor's established brand recognition benefits the franchisee.
Southern Steer aims to ensure consistent quality and service across all its locations to maintain and enhance the goodwill associated with its Marks and System. Franchisees must adhere to the franchisor's standards, specifications, and operating procedures as outlined in the Brand Manual. This compliance is essential for preserving the brand's reputation and ensuring that customers have a consistent experience at any Southern Steer location. The agreement emphasizes that operating the business according to the System and Brand Manual is crucial for preserving the goodwill of the System and Marks.
However, the FDD also states that franchisees will not have any continuing interest in the goodwill associated with the Southern Steer business or the Marks upon the expiration or termination of the franchise agreement. This means that any positive reputation or customer loyalty built up during the franchise term ultimately belongs to Southern Steer. This is a standard clause in franchise agreements, ensuring that the franchisor retains control over its brand and reputation. Franchisees benefit from the established goodwill during their operation but do not gain ownership of it.
