What This Means (2024 FDD)

According to Punch King Fitness's 2024 Franchise Disclosure Document, Section II, titled 'Fees,' within the Area Development Agreement outlines the financial obligations of the developer. Specifically, it addresses the Development Fee, its application towards initial franchise fees, and its non-refundable nature.

The Development Fee's total amount is detailed in Exhibit 2 of the agreement. This fee is applied towards the initial franchise fee that is due under subsequent Franchise Agreements. The developer is responsible for paying the remaining balance of the initial franchise fee, as stipulated in the current Franchise Agreement, for each franchised business when the Franchise Agreement is executed.

A critical aspect of the Development Fee is that it is non-refundable. This means that regardless of any circumstances or potential issues that may arise during the development process or with any Franchise Agreement, the developer will not receive a refund of the Development Fee. This non-refundable clause is explicitly stated, overriding any conflicting information in the Area Development Agreement or any Franchise Agreement.

In simpler terms, this section clarifies how the initial investment is structured when a developer commits to opening multiple Punch King Fitness locations. It ensures that Punch King Fitness receives compensation for granting development rights and that the developer understands the financial commitment involved, including the non-refundable nature of the initial fee.
