What This Means (2024 FDD)
According to Punch King Fitness's 2024 Franchise Disclosure Document, Punch King Fitness, Inc. retains the right to approve all franchisee transfers, but the franchisor may not unreasonably withhold consent. This means that while a franchisee can sell their business, Punch King Fitness has the final say in who the buyer is.
Several conditions must be met for Punch King Fitness to approve a transfer. First, all outstanding obligations related to the franchised business must be paid. Second, the transferor's right to receive compensation must be subordinated and secondary to Punch King Fitness's rights. The transferee must sign a written assumption, meet Punch King Fitness standards, sign the then-current franchise agreement and other ancillary agreements, and successfully complete initial training. Finally, either the franchisee or the transferee must pay a transfer fee.
Additionally, Punch King Fitness has a right of first refusal to acquire the franchisee's business. If a franchisee receives an offer to purchase their business, Punch King Fitness can match that offer and purchase the business themselves. Punch King Fitness has the right to substitute equivalent cash for any form of payment proposed in the offer. Punch King Fitness must complete the purchase within ninety days after receiving written notice. If Punch King Fitness does not exercise its right of first refusal, the franchisee has 120 days to complete the sale to the original buyer, subject to Punch King Fitness's final approval. After that, Punch King Fitness's right of first refusal is reinstated.
