CONFIDENTIAL OPERATING MANUAL
A.Business Operations
In order to protect the reputation and goodwill of Punch King Fitness System and to maintain uniform standards of operation under the Marks, Franchisee shall conduct its operations hereunder in accordance with the Operating Manual, as the same may be amended or modified from time to time.
B. Confidentiality
The Operating Manual shall, at all times, remain the sole property of Franchisor. Franchisor treats the Operating Manual and all information contained therein as confidential and proprietary.

According to Punch King Fitness's 2024 Franchise Disclosure Document, franchisees must operate their business according to the guidelines set forth in the Operating Manual. This ensures that all Punch King Fitness locations maintain consistent standards. The franchisee is responsible for keeping their copy of the manual secure, current, and up to date. In case of any discrepancies, the master copy held by Punch King Fitness at its headquarters will be the definitive version. Franchisees must also return any obsolete manuals upon request.
Furthermore, the Operating Manual is considered confidential and proprietary information of Punch King Fitness. Franchisees are obligated to treat the manual and its contents as such, taking all necessary steps to maintain its confidentiality. This extends to ensuring that their employees also handle the manual with the appropriate level of confidentiality. Franchisees are prohibited from sharing the manual or its contents with unauthorized parties.
Punch King Fitness has the right to modify the Operating Manual periodically to reflect changes in system standards. These changes become effective five days after the franchisee receives notice. The franchisee is responsible for complying with these changes at their own expense. Franchisees acknowledge that these modifications may require them to incur additional costs, which Punch King Fitness cannot estimate in advance.
