What is the Punch King Fitness franchisee's responsibility regarding the operation of the Training Facility Franchised Business under the System?

Franchisee acknowledges and agrees that every detail of the System is essential, not only to Franchisee but also to Franchisor, and other Punch King Fitness franchisees, to develop and maintain high and uniform operating standards, to increase the demand for the products and services offered by all franchisees, to establish and maintain a reputation for uniform, efficient, high-quality products and services, and to protect the goodwill of all Punch King Fitnessfranchises. Franchisee further acknowledges and agrees that a fundamental requirement of the System, this Agreement, and other Punch King Fitness franchises are adherence by all Franchisees to the uniform specifications, standards, operating procedures, and rules prescribed by Franchisor for the development and operation of the Franchised Business (collectively referred to as System Standards).
Franchisor may also require that Franchisee (and/or its Designated Manager), employees, and contractors attend such refresher courses, seminars, and other training programs as Franchisor may reasonably require from time to time.
Franchisor may require Franchisee (or if Franchisee is other than an individual, the Designated Manager) to attend a regional or national meeting of Punch King Fitness franchisees at a location within the United States designated by Franchisor. Franchisor reserves the right to charge Franchisee a fee for such meetings.
Franchisee shall refurbish the Franchised Business at its own expense to conform to the trade dress, color schemes, and presentation of the Marks in a manner consistent with the image than in effect for the new Punch King Fitness Franchised Business under the System. Such refurbishment may include structural changes, installation of new equipment and signs, remodeling, redecoration, and modifications to existing improvements. Franchisee shall complete the refurbishing within the time period specified by Franchisor.
Franchisee shall designate a new Designated Manager who meets Franchisor's thencurrent training requirement and is approved by Franchisor within a reasonable amount of time after the cessation of such former Designated Manager's employment, but no later than forty-five (45) days.
Franchisee acknowledges that because complete and detailed uniformity under many varying conditions may not be possible or practical, Franchisor specifically reserves the right and privilege to vary System Standards for any Punch King Fitness Franchisee based upon any condition that Franchisor deems to be of importance to the successful operation of such franchisee's business.

According to Punch King Fitness's 2024 Franchise Disclosure Document, franchisees must adhere to the uniform specifications, standards, operating procedures, and rules prescribed by Punch King Fitness for the development and operation of the Franchised Business, which are collectively referred to as System Standards. The FDD emphasizes that every detail of the Punch King Fitness system is essential for maintaining high operating standards, increasing demand for products and services, and protecting the goodwill of the Punch King Fitness brand. Franchisees acknowledge the importance of opening and operating the Franchised Business in conformity with Punch King Fitness's standards and specifications as presented in the Operating Manual and updates, and preserving the confidentiality of the System.
Furthermore, Punch King Fitness retains the right to vary System Standards for any Punch King Fitness Franchisee based on conditions that Punch King Fitness deems important to the successful operation of that franchisee's business. This allows Punch King Fitness to adapt the System to different market conditions or individual franchisee circumstances. Franchisees may also be required to refurbish the Franchised Business at their own expense every two years to conform to the current trade dress, color schemes, and presentation of the Marks. This refurbishment may include structural changes, new equipment, remodeling, and redecoration.
In addition, the franchisee is responsible for ensuring that if their Designated Manager or Franchised Business Manager leaves, they must designate a new manager who meets Punch King Fitness's training requirements within 45 days. Punch King Fitness also reserves the right to require franchisees, their managers, employees, and contractors to attend refresher courses, seminars, and other training programs. Franchisees are also required to attend a regional or national meeting of Punch King Fitness franchisees, for which Punch King Fitness may charge a fee. Franchisees are also recommended to spend between $2,500 and $3,500 on grand opening expenses.
