SYSTEM STANDARDS
A.Standards
Franchisee acknowledges and agrees that every detail of the System is essential, not only to Franchisee but also to Franchisor, and other Punch King Fitness franchisees, to develop and maintain high and uniform operating standards, to increase the demand for the products and services offered by all franchisees, to establish and maintain a reputation for uniform, efficient, high-quality products and services, and to protect the goodwill of all Punch King Fitnessfranchises. Franchisee further acknowledges and agrees that a fundamental requirement of the System, this Agreement, and other Punch King Fitness franchises are adherence by all Franchisees to the uniform specifications, standards, operating procedures, and rules prescribed by Franchisor for the development and operation of the Franchised Business (collectively referred to as System Standards).
Accordingly, Franchisee agrees to comply with each and every System Standard, as periodically modified and supplemented by Franchisor in its sole and absolute discretion, during the term of this Agreement. Franchisee further agrees that System Standards prescribed from time to time in the Operating Manual or otherwise communicated to Franchisee in writing shall constitute provisions of this Agreement as if
fully outlined in this Agreement. All references to this Agreement include all System Standards as periodically modified.
Franchisee agrees to comply with System Standards and not to deviate from Franchisor's specifications or procedures. In addition to all other remedies provided herein or otherwise, if the franchisee fails to adhere to the System Standards or Franchisee is found in violation of the System Standards, Franchisee shall reimburse Franchisor for any and all costs and expenses associated with counsel, inspection, support, assistance, enforcement rendered to and against Franchisee regarding said System Standards violation and/or non-compliance.

What This Means (2024 FDD)
According to Punch King Fitness's 2024 Franchise Disclosure Document, franchisees must adhere to the uniform specifications, standards, operating procedures, and rules prescribed by Punch King Fitness for the development and operation of the franchised business, collectively referred to as System Standards. Franchisees must also ensure their copy of the Operations Manual is kept secure, current, and up to date. In the event of a dispute, the master copy of the Operations Manual maintained by Punch King Fitness at its home office will be controlling. Franchisees must also cooperate in the efficient return of all Operations manuals that have been identified by Punch King Fitness as obsolete.
Punch King Fitness has the right to add, delete, or otherwise modify the Operations Manual from time to time to reflect changes in any of the System Standards. These changes become effective five days after Punch King Fitness provides notice to the franchisee or as otherwise directed by Punch King Fitness. Franchisees are responsible for complying with these changes at their own cost and expense. These modifications may require franchisees to incur costs and expenses, which Punch King Fitness cannot estimate in advance.
