What This Means (2024 FDD)

According to Punch King Fitness's 2024 Franchise Disclosure Document, if a franchisee seeks to transfer their franchise to a new legal entity created solely for ownership convenience, Punch King Fitness may require certain conditions for approval. One of these conditions involves guarantees related to the transferee's obligations.

Specifically, all Principals (owners, directors, etc.) of the new transferee entity must enter into an agreement with Punch King Fitness. This agreement must unconditionally guarantee the full payment and performance of all the transferee entity's obligations to Punch King Fitness. This means that the individuals behind the new entity are personally liable for ensuring the franchise meets all financial and operational requirements outlined in the franchise agreement.

This requirement protects Punch King Fitness by ensuring that there are individuals with personal financial stakes committed to the success and compliance of the franchise, even after the transfer to a new entity. It is a common practice in franchising to have personal guarantees, especially during transfers or when dealing with corporate entities, to mitigate the risk of non-performance or default.
