What This Means (2024 FDD)

According to Punch King Fitness's 2024 Franchise Disclosure Document, the Area Development Agreement does grant a limited form of exclusivity to the Developer. While the agreement is in effect, Punch King Fitness will not establish or license others to establish the same Punch King Fitness Model Concept in the Development Area, provided the Developer adheres to the Development Schedule and maintains the minimum required number of open and operating Franchised Businesses.

However, this exclusivity has some limitations. Punch King Fitness retains the right to establish or license others to establish different Punch King Fitness Model Concepts within the Development Area. These other concepts can include storefront, brick and mortar, co-branded, pop-up, virtual, or mobile outlets. These alternative models would still operate under the Punch King Fitness Marks and System.

Furthermore, Punch King Fitness retains significant rights within the Development Area. They can establish or license businesses other than a Competitive Business under different systems and marks. They can also acquire and operate businesses similar to Punch King Fitness, even within the Development Area, as long as they do not use the Punch King Fitness Marks. Punch King Fitness can also sell services and products through alternate channels of distribution or Model Concepts and engage in marketing activities not expressly forbidden by the agreement.
