What agreement is required to open additional Punch King Fitness Franchised Businesses?

You have no obligation or right to open any additional Punch King Fitness Franchised Businesses unless you sign an Area Development Agreement.
If you desire and qualify to develop multiple Punch King Fitness Franchised Businesses, we offer the opportunity to enter into an Area Development Agreement with us (the "Area Development Agreement"). Under an Area Development Agreement, you are granted the ability to develop multiple Punch King Fitness Franchised Businesses within a designated area (the "Development Area") per a development schedule specified in the Area Development Agreement (the "Development Schedule"). Our current form of Area Development Agreement is attached as Exhibit "B" to this Disclosure Document.
For each Franchised Business you open, you must sign a then-current form of the Punch King Fitness Franchise Agreement. For each future unit franchise agreement, you may be required to sign a form of the franchise agreement different from the franchise agreement included in this disclosure document. If you do not open your Franchised Businesses per the Development Schedule, we may terminate the Area Development Agreement, and you will lose the ability to develop other Punch King Fitness Franchised Businesses under the Area Development Agreement; we may keep the full development fee, which you paid; however, the Franchise Agreements for the Punch King Fitness Franchised Business already opened will not be terminated, because you did not follow the Development Schedule.

What This Means (2024 FDD)
According to Punch King Fitness's 2024 Franchise Disclosure Document, a franchisee must sign an Area Development Agreement to have the right to open additional Punch King Fitness Franchised Businesses. Without this agreement, franchisees have no obligation or right to expand their business with additional locations.
The Area Development Agreement grants the franchisee the ability to develop multiple Punch King Fitness locations within a specific geographic area, known as the Development Area. This development is subject to a timeline outlined in the agreement, referred to as the Development Schedule. The current form of the Area Development Agreement is included as Exhibit B in the FDD.
For each individual Punch King Fitness location opened under the Area Development Agreement, the franchisee must also sign the then-current form of the Punch King Fitness Franchise Agreement. It's important to note that the franchise agreement signed for future units may differ from the one included in the current FDD. Failure to adhere to the Development Schedule outlined in the Area Development Agreement can result in its termination. If terminated, the franchisee loses the right to develop further Punch King Fitness locations, and Punch King Fitness may retain the full development fee paid. However, existing Franchise Agreements for already-opened locations will remain in effect, even if the Development Schedule was not followed.
