Can Pump It Up modify the list of Designated Vendors?

- (3) If specified for your Franchised Business, you must purchase the Proprietary Products or any other specified fixture, equipment, inventory, marketing materials, or supplies, only from us or a third party designated and licensed by us to prepare and sell such products ("Designated Vendors").
From time to time, we may modify the list of Designated Vendors.
- (4) We may, in our sole discretion, choose to designate (or remove) any vendor as a "Preferred National Vendor".
We reserve the right to require that you use a Preferred National Vendor for the purchase of specified fixtures, equipment, inventory, marketing materials, or supplies.
We may work with these Preferred National Vendors to establish prices, products, shipping costs, contacts, and other agreements as at our discretion.
- (5) Dependent on restrictions we may identify for purchasing products and services from our Designated Vendors and/or Preferred National Vendors, you may also purchase products, equipment, materials, supplies and services from a vendor in the geographic area near your Premises (a "Local Vendor").
All such purchases from any such Local Vendors should be high quality and up to our System Standards.
We reserve the right to override your decision to use a Local Vendor if we determine, in our sole discretion, that the Local Vendor does not meet the high expectations of the System Standards.
- (6) If you propose to purchase any product, equipment, materials, supplies or services (that you are not required to purchase from us, an affiliate of ours or a PIU Vendor), all such products, equipment, supplies or services must be fully compliant with our System Standards.

What This Means (2025 FDD)
According to the 2025 Pump It Up FDD, Pump It Up has the right to modify the list of designated vendors from time to time. Designated Vendors are third parties that Pump It Up licenses to prepare and sell specific products, materials, and supplies required for the Franchised Business.
Pump It Up also has the discretion to designate or remove any vendor as a Preferred National Vendor. They reserve the right to require franchisees to use these Preferred National Vendors for purchasing specified fixtures, equipment, inventory, marketing materials, or supplies. Pump It Up may also work with these Preferred National Vendors to negotiate prices, products, shipping costs and other agreements.
Pump It Up franchisees may also purchase products from Local Vendors if there are no restrictions for purchasing products and services from Designated Vendors and/or Preferred National Vendors. However, all purchases from Local Vendors must meet Pump It Up's System Standards, and Pump It Up reserves the right to override a franchisee's choice of Local Vendor if they do not meet these standards. Franchisees must ensure that any products, equipment, materials, supplies, or services purchased from any vendor (other than those they are required to purchase from Pump It Up, its affiliates, or PIU Vendors) comply with Pump It Up's System Standards.
