If you are an Entity, you must provide us with true, correct, and fully executed copies of your organizational and governing documents ("Governing Documents").
These Governing Documents should be provided to us no later than your execution of this Agreement.
If your Governing Documents are modified or changed, you must promptly provide copies of the modified and/or changed documents to us.

What This Means (2025 FDD)
According to the 2025 Pump It Up Franchise Disclosure Document, if a franchisee operates as an entity (corporation, LLC, or partnership) and their organizational or governing documents are modified or changed, they must promptly provide copies of the modified and/or changed documents to Pump It Up. These documents, referred to as "Governing Documents," must initially be provided to Pump It Up no later than the execution of the Franchise Agreement.
This requirement ensures that Pump It Up is kept informed of any alterations to the franchisee's business structure or operational guidelines. By receiving updated Governing Documents, Pump It Up can assess whether the changes affect the franchisee's ability to meet its obligations under the Franchise Agreement or comply with Pump It Up's standards.
For a prospective Pump It Up franchisee, this means maintaining accurate records of their Governing Documents and promptly submitting any revisions to Pump It Up. Failure to do so could potentially lead to a breach of the Franchise Agreement. This is a fairly standard requirement in franchising, as franchisors need to ensure franchisees adhere to the agreed-upon business structure and operational guidelines throughout the term of the agreement.
It is important to note that this requirement applies specifically to franchisees operating as entities. Individual franchisees are subject to different representations and warranties, as outlined in the FDD.
